Terms of Service

01Parties and Acceptance

These Terms of Service ("Terms," "Agreement") constitute a legally binding contract between Kayanda LLC, a Maryland limited liability company with its principal place of business in Chevy Chase, Maryland ("Kayanda," "Company," "we," "our," or "us"), and you, either as an individual or as an authorized representative of a legal entity ("you," "your," or "User").

By creating an account, accessing the Platform, clicking "Activate Revenue," submitting payment information, enrolling in the Partner Program, or otherwise using any feature of the SignalFlow™ Platform, you represent and warrant that:

• You have read, understood, and agree to be bound by these Terms in their entirety
• You are at least 18 years of age and have the legal capacity to enter into binding contracts
• If acting on behalf of a business entity, you have the authority to bind that entity to these Terms
• Your use of the Platform will comply with all applicable federal, state, and local laws and regulations

02Description of Services

SignalFlow™ is an AI Revenue Activation Infrastructure platform developed and operated by Kayanda LLC. The Platform delivers automated lead follow-up, AI-powered outreach sequences, missed-call recovery, CRM lead activation, AI appointment setting, booked call automation, and autonomous revenue systems designed for local businesses.

Services are delivered as a software-as-a-service subscription and activate upon receipt of payment. Kayanda LLC reserves the right to modify, enhance, discontinue, or substitute any feature of the Platform at any time with reasonable notice to active subscribers. The Platform is not a staffing agency, employment service, or placement platform of any kind.

03Account Registration and Eligibility

Access to the Platform requires account registration. You agree to provide accurate, current, and complete information during registration and to update such information as needed to maintain its accuracy. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

Kayanda LLC reserves the right to suspend or terminate any account where information is found to be false, misleading, or in violation of these Terms. You may not create accounts on behalf of others without their express written authorization. You may not transfer your account to another party without Kayanda LLC's prior written consent.

04Subscription, Fees, and Payment

4.1 Subscription Plans

The Platform is offered on monthly subscription plans as described on the pricing page at signalflow.ai/#pricing. Pricing is subject to change with 30 days' notice to active subscribers.

4.2 Payment Processing

All subscription fees and transactions are processed by Stripe, Inc., a third-party payment processor. By submitting payment information, you authorize Kayanda LLC to charge your designated payment method on a recurring monthly basis until cancellation. You agree to Stripe's Terms of Service and Privacy Policy in addition to these Terms.

4.3 Billing and Renewal

Subscriptions renew automatically on the monthly anniversary of your activation date. You will be charged the then-current subscription fee unless you cancel at least 24 hours before the renewal date. Cancellation takes effect at the end of the current billing period; no prorated refunds are issued for unused time.

4.4 Refund Policy

All fees are non-refundable except where required by applicable law or at Kayanda LLC's sole discretion in documented cases of Platform failure attributable solely to Kayanda LLC. Cancellation of a subscription does not entitle you to a refund of any fees already paid.

05Partner Program Terms

5.1 Program Overview

Kayanda LLC operates a revenue-share Partner Program through which approved individuals ("Partners") may earn commissions for referring paying clients to the SignalFlow™ Platform. Participation in the Partner Program requires separate enrollment and acceptance of these Terms.

5.2 Commission Structure

Partners earn a commission equal to twenty-five percent (25%) of the net subscription fee collected from each client they directly refer. Commissions are calculated on actual payments received, excluding any refunds, chargebacks, or payment processing fees.

5.3 Recurring Commissions

Partner commissions are recurring. Partners earn their 25% commission on every monthly renewal payment made by their referred clients for as long as those clients maintain an active subscription. Commission payments cease upon client cancellation, account suspension, or termination of the Partner's enrollment.

5.4 Commission Payments

Commissions are processed automatically via Stripe Connect. Upon enrollment, Partners must establish and maintain a valid Stripe Connect Express account to receive payments. Kayanda LLC is not responsible for payment failures resulting from a Partner's failure to maintain a valid Stripe Connect account. Commission payments are subject to Stripe's standard payout schedule (typically 2 business days) unless the Partner has enabled Stripe Instant Payouts.

5.5 Partner Conduct

Partners may not make representations about the Platform that are false, misleading, or inconsistent with Kayanda LLC's published materials. Partners may not engage in spam, unsolicited mass messaging, or any outreach that violates applicable law including the CAN-SPAM Act, TCPA, or state telemarketing regulations. Kayanda LLC reserves the right to terminate Partner enrollment and withhold unpaid commissions if a Partner engages in fraudulent, deceptive, or unlawful conduct.

5.6 Independent Contractor Status

Partners are independent contractors. Nothing in these Terms creates an employment relationship, partnership, joint venture, or agency relationship between Partners and Kayanda LLC. Partners are solely responsible for all taxes on commission income, including self-employment taxes. Kayanda LLC will issue appropriate tax documentation (including IRS Form 1099 where required) to Partners whose annual commissions meet applicable thresholds.

06Acceptable Use and Prohibited Conduct

You agree not to use the Platform to:

• Violate any applicable federal, state, local, or international law or regulation, including the CAN-SPAM Act, TCPA, GDPR, CCPA, or any applicable data protection law
• Transmit unsolicited commercial communications in violation of applicable law
• Upload, process, or transmit data for which you lack authorization or legal basis
• Attempt to circumvent, disable, or interfere with any security feature of the Platform
• Reverse engineer, decompile, or disassemble any component of the Platform
• Use the Platform to process data of individuals under 18 years of age
• Impersonate Kayanda LLC, SignalFlow™, or any other person or entity
• Engage in any activity that imposes an unreasonable or disproportionate load on Platform infrastructure

Kayanda LLC reserves the right to investigate suspected violations and to suspend or terminate access without prior notice where violations are confirmed or reasonably suspected.

07Intellectual Property Rights

SignalFlow™ and Autonomous Revenue Infrastructure™ are trademarks of Kayanda LLC. All Platform software, source code, algorithms, AI models, user interface designs, visual assets, brand elements, documentation, and marketing materials are the exclusive proprietary property of Kayanda LLC and are protected by applicable United States copyright, trademark, and trade secret law.

Subject to your compliance with these Terms and timely payment of applicable fees, Kayanda LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your internal business purposes. No other rights are granted. You may not copy, modify, distribute, resell, sublicense, or create derivative works from any component of the Platform without Kayanda LLC's prior written consent.

You retain ownership of all data you submit to the Platform. By submitting data, you grant Kayanda LLC a limited license to process that data solely for purposes of delivering the Platform services as described in these Terms.

08Third-Party Integrations

The Platform integrates with third-party services including Stripe, HubSpot, Salesforce, GoHighLevel, Calendly, Apollo, Slack, Shopify, Zapier, and Make. These integrations are provided for convenience and are subject to the respective third parties' terms of service and privacy policies. Kayanda LLC does not control, endorse, or assume responsibility for any third-party service, and any issues arising from third-party platforms must be resolved directly with those providers.

Third-party services may charge independent fees, modify their features, or discontinue service at any time. Kayanda LLC is not liable for any loss or disruption resulting from changes to third-party services.

09Disclaimers and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KAYANDA LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO KAYANDA LLC IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00).

IN NO EVENT SHALL KAYANDA LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, REGARDLESS OF WHETHER KAYANDA LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10Indemnification

You agree to indemnify, defend, and hold harmless Kayanda LLC, its members, managers, officers, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your violation of any third party's rights; or (e) any data you submit to the Platform.

11Term, Termination, and Suspension

These Terms are effective upon your first access to the Platform and continue until terminated. Either party may terminate these Terms at any time. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period.

Kayanda LLC may suspend or terminate your access immediately and without notice if you: breach any provision of these Terms; fail to pay any fees when due; engage in conduct that Kayanda LLC determines, in its sole discretion, threatens the security, integrity, or reputation of the Platform; or become subject to bankruptcy, insolvency, or similar proceedings.

Upon termination: (a) your license to use the Platform ceases immediately; (b) Kayanda LLC may delete your account data in accordance with our data retention policy; (c) all accrued payment obligations survive termination; and (d) Sections 7, 9, 10, 12, and 13 survive indefinitely.

12Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Platform that cannot be resolved through good-faith negotiation shall be submitted to binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in Montgomery County, Maryland. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: You and Kayanda LLC each waive the right to participate in a class action lawsuit or class-wide arbitration. All disputes must be brought in your individual capacity only.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm pending arbitration.

13Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions. For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Montgomery County, Maryland.

14General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Kayanda LLC regarding the Platform and supersede all prior agreements
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect
• Waiver: Kayanda LLC's failure to enforce any right or provision shall not constitute a waiver of that right or provision
• Assignment: You may not assign these Terms without Kayanda LLC's prior written consent. Kayanda LLC may assign these Terms freely
• Notices: All legal notices to Kayanda LLC must be submitted through our Contact page. Notices to you will be sent to the email address associated with your account
• Force Majeure: Kayanda LLC shall not be liable for delays or failures in performance resulting from causes beyond its reasonable control
• Modifications: Kayanda LLC reserves the right to modify these Terms at any time. Continued use of the Platform after modifications constitutes acceptance. Material changes will be communicated with 14 days' advance notice
